{"id":2968,"date":"2017-05-20T14:26:51","date_gmt":"2017-05-20T14:26:51","guid":{"rendered":"https:\/\/www.riaabarkergillette.com\/uk\/?p=2968"},"modified":"2025-03-10T10:01:53","modified_gmt":"2025-03-10T10:01:53","slug":"small-suppliers-get-info-big-companies-payment-performance","status":"publish","type":"post","link":"https:\/\/www.riaabarkergillette.com\/uk\/small-suppliers-get-info-big-companies-payment-performance\/","title":{"rendered":"Small suppliers to get info on big companies\u2019 payment performance"},"content":{"rendered":"\n<p>The requirement affects those companies and limited liability partnerships (LLPs) exceeding the thresholds to qualify as a \u2018medium-sized\u2019 company under the Companies Act 2006. The new regulations, therefore, apply to all companies who, at the date of their last two balance sheets, satisfy two or more of the following criteria:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>have an annual turnover of \u00a336 million or more;<\/li>\n\n\n\n<li>have a balance sheet total of \u00a318 million or more; or<\/li>\n\n\n\n<li>have an average of 250 or more employees during the year.<\/li>\n<\/ol>\n\n\n\n<p>From 6 April 2017, those qualifying will be required to publish information on a Government website about their payment practices and policies and how they have performed against them, including the average time taken to pay suppliers. They will also be required to update the information every six months.<\/p>\n\n\n\n<p>The new regulations aim to tackle concerns about the adverse treatment of smaller suppliers by larger, more powerful customers through increased transparency and scrutiny.<\/p>\n\n\n\n<p>The Reporting on Payment Practices and Performance Regulations 2017 came into force as part of the <a href=\"https:\/\/www.legislation.gov.uk\/ukpga\/2015\/26\/contents\" target=\"_blank\" rel=\"noopener noreferrer\">Small Business Enterprise and Employment Act 2015<\/a> and applies to public, private and listed companies and LLPs through a separate set of <a href=\"https:\/\/www.legislation.gov.uk\/uksi\/2017\/425\/contents\/made\" target=\"_blank\" rel=\"noopener noreferrer\">Regulations<\/a>.<\/p>\n\n\n\n<p>Businesses are not required to report in their first financial year. Those in their second year must check the requirements against their single first financial year.<\/p>\n\n\n\n<p>Reporting is required for parent companies and LLPs if the aggregate group figures exceed the thresholds. Any company or LLP within a group that satisfies the test individually must report separately on its own payment practices and performance.<\/p>\n\n\n\n<p>Our former head of corporate and commercial, Veronica Hartley, explains:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>&#8220;It\u2019s important that larger businesses check whether they are required to report under the regulations. They must then keep an eye on the thresholds as these will be updated over time. Smaller businesses can ask new customers whether they are required to report and, if they are, check out payment performance as part of their pre-contract checks.&#8221;<\/p>\n<\/blockquote>\n\n\n\n<p>She added:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>&#8220;It\u2019s worth remembering that there are other existing measures already available to tackle late payment, including the option of claiming interest and recovery charges. It\u2019s worth checking that existing contract terms don\u2019t undermine those rights with something less advantageous.\u201d<\/p>\n<\/blockquote>\n\n\n\n<p>Under the <a href=\"https:\/\/www.legislation.gov.uk\/ukpga\/1998\/20\/contents\" target=\"_blank\" rel=\"noopener noreferrer\">Late Payment of Commercial Debts (Interest) Act 1998<\/a>, commercial businesses are expected to pay their supplier invoices within 30 days unless they have agreed to a longer time limit of no more than 60 days. Further, all public bodies must pay suppliers within 30 days, except for some specific or devolved activities.<\/p>\n\n\n\n<p><a href=\"https:\/\/www.gov.uk\/late-commercial-payments-interest-debt-recovery\/charging-interest-commercial-debt\" target=\"_blank\" rel=\"noopener noreferrer\">Statutory interest<\/a> can be applied with a fixed sum of between \u00a340 and \u00a3100 (depending on the sum owed) for the cost of recovering the late payment. The interest is currently set at 8% above the Bank of England\u2019s base rate. It starts to run automatically 30 days after either receipt of the supplier&#8217;s invoice or the date of receiving or accepting the goods or services (whichever is the later). You can agree to a longer period for payment, but if it\u2019s more than 60 days, it must be fair to both businesses. Unless such a \u2018reasonable\u2019 longer period has been agreed upon, purchasers must confirm that goods or services conform with the contract within 30 days.<\/p>\n\n\n\n<p>Late payment legislation does not have to be referenced in trading terms as it will apply automatically in any commercial relationship unless alternative provisions have been set out in the contract.<\/p>\n\n\n\n<p><strong>Call our head of corporate and commercial, <a href=\"https:\/\/www.riaabarkergillette.com\/uk\/our-team\/victoria-holland\/\">Victoria Holland<\/a>, today.<\/strong><\/p>\n\n\n\n<p><em>Note: This is not legal advice.
